General sales conditions
The present conditions of sale are concluded between the company ITE-Audit SARL with a capital of 21000 euros registered in the Versailles Trade and Companies Register under number 513 160 713 00014, on the one hand; and by any natural or legal person wishing to order or purchase an offer of services directly or via the Internet site of ITE-Audit, hereinafter referred to as “Client”, on the other hand. These conditions of sale shall prevail over any other general or special conditions not expressly approved by ITE-Audit, which reserves the right to modify its conditions of sale at any time. In this case, the applicable conditions will be those in force on the date of the order by the buyer.
Characteristics of the proposed offer
The services offered are those published on the ITE-Audit website, it being understood that the publication on its website does not commit ITE-Audit on the exhaustive nature of the offer: other services may be the subject of a specific offer to the client following his request. Services are subject to availability. Each service is accompanied by a description. ITE-Audit strives to provide as much detail as possible for each service, but reserves the right to modify at any time its own characteristics and the general characteristics of its offer. The commitments of ITE-Audit for each service appear on the order confirmation returned by ITE-Audit following the Customer’s order.
Order and order confirmation
All orders must be issued by the Customer by any written means, signed and stamped by the Customer’s organisation, and may be transmitted to ITE-Audit in physical or dematerialised form. An order commits ITE-Audit only after acceptance of order, and is deemed to involve the acceptance by the Customer of these terms and conditions of sale, the acknowledgement of having full knowledge of them and the renunciation to avail oneself of its own conditions of purchase or other conditions.
Upon receipt of an order, ITE-Audit checks the availability of the service and sends an order confirmation to the Customer by e-mail or postal mail depending on the type of address provided by the Customer.
Terms of sale
Certification services must be confirmed by the supplier no later than 5 working days before the examination date:
- the client’s dated/signed undertaking regarding the date, place and number of candidates;
- the list of nominees, mentioning for each candidate: gender/first name/first name/name.
Nominative information is requested exclusively for the purpose of checking the candidate’s identity during the examination, and to include this identity on any certificate issued. They are not processed.
The invoice is issued after notification of the results for all registered candidates. Unless otherwise indicated, payment by the Customer must be made in cash, at the latest within one calendar month from the invoice date. Settlement is preferably by paperless means.
The “total amount payable” of the invoice must be credited to ITE-Audit no later than the due date. For the debtor’s information, and in accordance with Article L441-6 of the French Commercial Code, as amended by Law 2014-344 of 17 March 2014, from the first day of late payment, a lump-sum compensation of €40 plus late payment penalties calculated on the basis of the ECB’s refinancing rate plus 10 points is automatically payable without reminder. ITE-Audit shall also have the right to obtain settlement by litigation at the Client’s expense without prejudice to any other damages that may be due to ITE-Audit.
The prices expressed before taxes will be increased by VAT and any other taxes at the rates in force. Bank charges which could be caused by a specific payment method requested by the Customer will be charged to him/her.
All certification services ordered are in full.
Cancellation, postponement or replacement of the candidate at the initiative of the Client
Cancellation or postponement of participation in a certification session is possible according to the procedures below.
Any candidate for a certification session may be replaced at the Client’s initiative until the day of the session. It is the Client’s responsibility to verify that the prerequisites for certification are met regardless of the candidate. The Client must send in writing to ITE-Audit, at the time of cancellation and at the latest before the start of the session, the identification of each participant consisting of the type (indicating Mrs. /Mr. /Mr.), first name, surname and contact details of electronic mail.
Limitation of Liability
Although ITE-Audit can assist the Client, free of charge, to help identify the most appropriate certifications, the Client remains responsible for his or her choice of certification sessions and must ensure that candidates meet the necessary prerequisites to participate in the selected session.
ITE-Audit cannot be held liable to the Client in case of non-performance of its obligations resulting from an event of force majeure. Are considered as force majeure or fortuitous event, in addition to those usually recognized by the jurisprudence of the French Courts and Tribunals and without this list being restrictive: the illness or accident of a supervisor, strikes or social conflicts internal or external to ITE-Audit, natural disasters, fires, failure to obtain visas, work authorizations or other permits, laws or regulations implemented subsequently, Interruption of telecommunications, interruption of energy supply, interruption of communications or transportation of any kind, or any other circumstance beyond the reasonable control of ITE-Audit.
Intellectual property rights
ITE-Audit or its Suppliers are the sole holders of intellectual property rights for all certifications ordered by the Client. For this purpose, all content and certification media, whatever the form used by ITE-Audit to ensure certification, remain the exclusive property of ITE-Audit or its Suppliers, as the case may be. As such, they may not be used, transformed, reproduced, exploited, published, published, transmitted, distorted, totally or partially not expressly authorized within or outside the Customer’s organization without the written consent of ITE-Auditet, whatever the process and medium used.
